The following Terms of Use, together with the terms of our Privacy Policy (collectively “Terms” or “Agreement” ) govern your access to and use of the website, mobile application, and services offered to you (“Platform”) provided to you by MyFairDoc LLC and its affiliates, authorized service providers and agents (collectively, the “Company,” “us” or “we” or “our”).

Your use of the Platform constitutes your agreement to be bound by all terms of the Agreement. By using the Platform, you represent and warrant to us that you are at least 18 years of age. If you disagree with one or more of these terms or find them unacceptable in any way, please do not use the Platform.

Changes to Terms of Use

We have the right to change or add to the terms of this Agreement at any time by posting the amended Terms on Company’s website and/or mobile application. Any use of the Platform after our publication of any such changes shall constitute your acceptance of the Terms as modified.

Grant of Access and Use

Subject to your compliance with the terms and conditions of this Agreement, we grant authorized users a limited, non-exclusive, revocable, non-transferable, non-sublicensable right to access and use the Platform in order to access and use the services and features that we make available to you. The grant is solely for your personal purposes and you will not permit access to or use of your log-in credentials to any other person.

Use Restrictions

You shall not, and shall not permit any other person to, use the Platform or any software component of the Platform for any purposes beyond the scope of the access and use granted in this Agreement. You shall not at any time, directly or indirectly, and shall not permit any other party to:

1. copy, modify, or create derivative works of the Platform or any portion of the Platform, in whole or in part;
2. rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make available the Platform except as expressly permitted under this Agreement;
3. reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any portion component of the Platform, in whole or in part;
4. remove any proprietary notices from the Platform; or
5. use the Platform in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable law, regulation, or rule.

You further agree that you will not use the Platform to solicit or collect:

1. personal data from others except as necessary for the administration of or participation in a group or event, or
2. sensitive personal data, as defined or treated as such under applicable law (including, by way of example only, health information and social security numbers and other government identifiers).

Account / Registration

You may be required to register to use certain portions of the Platform. If you are required to register, you may be required to provide certain information about yourself, including your name, address and email address and other nonpublic information. You may be given or have the right to select a user name and password (“Credentials”) to access the restricted portions of the Platform. In some instances, registration is not required to view certain content. You are responsible for keeping your Credentials confidential and you are prohibited from sharing your Credentials with any other person or entity. You accept sole responsibility for all activities that occur under your account. If you believe someone has accessed the Platform using your Credentials without your authorization, you must notify us immediately by sending an email to [email address]. You agree to provide true, accurate, complete, and correct information at the time of registration, and to promptly update this information as needed so that it remains true, accurate, complete, and correct.

User Contributions

The Platform may contain boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, "Interactive Services" ) that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post" ) content or materials (collectively, "User Contributions" ) on or through the Platform.

All User Contributions must comply with the Content Standards set out in this Agreement.

Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Platform, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the a non-exclusive, perpetual, irrevocable, royalty-free, sublicensable, transferable right and license to use, reproduce, modify, perform, display, distribute, create derivatives of, and otherwise disclose to third parties any such User Contributions and to commercialize and exploit the rights in and to the User Contributions.

You represent and warrant that you own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns, and that all of your User Contributions do and will comply with this Agreement.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Platform.

Monitoring and Enforcement

We have the right to:

• Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
• Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Agreement, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Platform or the public, or could create liability for the Company.
• Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
• Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Platform.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Platform. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we cannot and do not undertake to review material before it is posted on the Platform, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Content Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

• Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
• Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
• Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy.
• Be likely to deceive any person.
• Promote any illegal activity, or advocate, promote, or assist any unlawful act.
• Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
• Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
• Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
• Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

Copyright Infringement

If you believe that any User Contributions violate your copyright, please see our Copyright Policy for instructions on sending us a notice of copyright infringement. It is the policy of the Company to terminate the user accounts of repeat infringers.

Reliance on Information Posted

The information presented on or through the Platform is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to or user of the Platform, or by anyone who may be informed of any of its contents.

This Platform may include content provided by third parties, including materials provided by other users, bloggers, and third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by the Company, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of the Company. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

Your Interactions with Others

We are not a party to an arrangements you make with others through the Platform. We do not conduct or require background checks on users and do not attempt to verify the truth or accuracy of statements made by users. We make no representations or warranties concerning the conduct or User Contributions of any users or their interactions with you.

To the fullest extent permitted by applicable law, you release the Company and its officers, directors, employees, agents and affiliates harmless from any and all claims, proceedings, damages, injuries, liabilities, losses, costs and expenses (including reasonable attorneys' fees and litigation expenses), arising out of or relating to your interactions with users and other third parties or in connection with a user or other third party groups or events.

Your Privacy

Any information you provide or is collected by Company through the Platform is subject to our Privacy Policy, which is hereby incorporated by reference and which is located on our Platform. You confirm that you have read, understood, and accepted our Privacy Policy.

Third Party Services

The Platform may display, include or make available content, data, information, applications, materials, or include links to third party web sites (collectively, "Third Party Services" ). These Third Party Services are provided for your convenience. The inclusion of any Third Party Service does not imply an approval, endorsement, or recommendation by Company. You bear all risks associated with your access or and use of any Third Party Services. You agree that your access and use of any such Third Party Service is at your own risk, and that such Third Party Services are not governed by the terms and conditions contained in these Terms. Company expressly disclaims any liability for Third Party Services. When you use a link to go from our Platform to the Third Party Services, your use of those Third Party Services is subject to the terms of use, privacy policies and other rules of that third party and our terms and policies will not apply. You should review the terms and policies for the Third Party Services.

Connections and Devices

Use of the Platform may require Internet access, a computer and/or a mobile device. You are solely responsible to obtaining and maintaining all necessary connections and equipment to access and use the Platform.

Intellectual Property

You agree that the Platform, and features and functionality thereof are and will remain the exclusive property of the Company and our licensors. The Platform, and features and functionality thereof contain proprietary content, information and material, that is protected by applicable intellectual property and other laws, including without limitation copyright. You are strictly prohibited from using such proprietary content, information or materials in any way whatsoever except for permitted use of the Application. We retain all right, title and interest in and to the Platform, including all copyrights, trademarks, and other intellectual property rights therein or relating thereto.

The Company’s names, marks, and logos are trademarks owned by the Company. You may not use or frame any Company name, trademark, logo or other proprietary materials or content, without our prior express written consent. All other trademarks, logos and service marks are the property of their respective owners.

Feedback

If you or any of you send or transmit any communications or materials to us by mail, email, telephone, or otherwise, suggesting or recommending changes to the Platform, including without limitation, new features or functionality relating thereto, or any comments, questions, suggestions, or the like ("Feedback"), we are free to use such Feedback irrespective of any other obligation or limitation between you and us governing such Feedback. All Feedback is and will be treated as non-confidential. You hereby assign to us on your behalf, and shall cause your employees, contractors, and agents to assign, all right, title, and interest in, and we are free to use, without any attribution or compensation to you or any third party, any ideas, know-how, concepts, techniques, or other intellectual property rights contained in the Feedback, for any purpose whatsoever, although we are not required to use any Feedback.

Termination

We may terminate or suspend your access to the Platform at any time, including, but not limited to, if we determine that you have violated this Agreement or we have concerns about the security of the Platform, our intellectual property or our systems or networks, or determine that the Platform, our intellectual property or our systems or networks are otherwise at risk. When this happens, we will notify you of the termination or suspension. We may remove accounts that are inactive for an extended period of time.You can email us at admin@myfairdoc.com if you believe the termination or suspension has occurred in error.

Warranty Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND “AS AVAILABLE.” WITHOUT LIMITING THE FOREGOING, COMPANY DOES NOT WARRANT THAT

1. THE PLATFORM IS ACCURATE, RELIABLE OR CORRECT;
2. THE PLATFORM WILL BE SECURE, UNINTERRUPTED OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION;
3. ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR
4. THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. COMPANY DOES NOT WARRANT, ENDORSE, GUARANTEE OR ASSUME ANY RESPONSIBILITY FOR ANY THIRD PARTY PRODUCT OR SERVICE OFFERED OR MADE AVAILABLE THROUGH THE PLATFORM. COMPANY SPECIFICALLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. COMPANY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. COMPANY MAKES NO WARRANTY OF ANY KIND THAT THE PLATFORM, OR ANY PRODUCTS OR RESULTS OF THE USE THEREOF, WILL MEET YOUR OR ANY OTHER PERSON'S OR ENTITY'S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY OF YOUR OR ANY THIRD PARTY'S SOFTWARE, SYSTEM, OR OTHER SERVICES, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR-FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT WILL COMPANY BE LIABLE UNDER OR IN CONNECTION WITH THIS AGREEMENT UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, FOR ANY:

1. CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, ENHANCED, OR PUNITIVE DAMAGES;
2. INCREASED COSTS, DIMINUTION IN VALUE OR LOST BUSINESS, PRODUCTION, REVENUES, OR PROFITS;
3. LOSS OF GOODWILL OR REPUTATION; (iv) USE, INABILITY TO USE, LOSS, INTERRUPTION, DELAY OR RECOVERY OF ANY DATA, OR BREACH OF DATA OR SYSTEM SECURITY;
4. COST OF REPLACEMENT GOODS OR SERVICES, IN EACH CASE REGARDLESS OF WHETHER COMPANY WAS ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES OR SUCH LOSSES OR DAMAGES WERE OTHERWISE FORESEEABLE; OR (vi) LOSSES OR DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE PLATFORM OR FROM ANY DECISIONS THAT YOU OR ANY THIRD PARTY MAKE BASED ON USE OF THE PLATFORM.

Indemnification

You agree to defend, indemnify and hold the Company and its officers, directors, employees, agents and affiliates harmless from any and all claims, proceedings, damages, injuries, liabilities, losses, costs and expenses (including reasonable attorneys' fees and litigation expenses), arising out of or relating to your use of, or access to, the Platform, or your violation of this Agreement.

Notices

Except as otherwise stated in this Agreement, all notices to us shall be given by certified mail, postage prepaid to MyFairDoc LLC, by email to admin@myfairdoc.com. Any notice to you shall be given to the most current email address in your account.

Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the internal laws of the Commonwealth of Virginia without giving effect to any choice or conflict of law provision or rule that would require or permit the application of the laws of any jurisdiction other than those of the Commonwealth of Virginia. Any legal suit, action, or proceeding arising out of or related to this Agreement or the rights granted hereunder will be instituted exclusively in the federal courts of the United States or the courts of the Commonwealth of Virginia in each case located in the city of Norfolk, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.

Entire Agreement

This Agreement constitute the entire agreement between you and us regarding the Platform, and supersede and replace any prior understandings or agreements, whether written or oral, regarding the Platform.

Waiver and Severability

Our failure to enforce any right or provision of this Agreement will not be considered a waiver of those rights. If any provision of this Agreement is held to be invalid or unenforceable by a court, the remaining provisions of this Agreement will remain in effect.

• Payment will be charged to iTunes Account at confirmation of purchase. Subscription automatically renews unless auto-renew is turned off at least 24-hours before the end of the current period.
• Account will be charged for renewal within 24-hours prior to the end of the current period.
• You can manage or turn off auto-renew in your Account settings at any time after purchase
• No cancellation of the current subscription is allowed during the active period.
